1. Acceptance of Terms

This End User License Agreement (“Agreement”) governs your access to and use of the iManus platform operated by Tactile Robotics Ltd. (“Tactile Robotics”, “Company”, “we”, “us”, or “our”).

By creating an account, accessing, or using the iManus platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the associated Privacy Policy.

2. Description of the Platform

iManus is a cloud-based software platform designed to support remote rehabilitation, care coordination, and communication between patients, healthcare professionals, and caregivers.

The platform allows users to upload rehabilitation task videos, complete questionnaires, communicate with their care team, and monitor rehabilitation activities.

3. License Grant

Subject to compliance with this Agreement, Tactile Robotics Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the iManus platform solely for its intended purposes.

You may not:

• sublicense, resell, or commercially exploit the platform
• reverse engineer or attempt to extract the platform’s source code
• interfere with system security or platform functionality
• use the platform for unlawful or unauthorized purposes

All rights not expressly granted are reserved by Tactile Robotics Ltd.

4. User Accounts

Users must create an account using accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Some profile information may be optional and may be provided by users if required for care coordination with healthcare providers.

You agree to notify the Company immediately if you suspect unauthorized access to your account.

5. Role-Based Access

Access to information within the platform is determined by user roles.

Patients:

• May access their own rehabilitation information and communicate with their care team.

Healthcare Professionals:

• May access rehabilitation data related to patients and connected caregivers they work with through the platform.

Caregivers:

• May access information related to patients they assist when authorized by the patient or healthcare professional.

If patients, caregivers, and healthcare professionals are connected, they may view each other’s full name and email address under the Users section of their accounts.

Access to information is restricted according to role-based permissions and least-privilege access principles.

6. Acceptable Use

Users agree that they will not:

• upload unlawful, harmful, or abusive content
• attempt to access other users’ data without authorization
• upload malware or attempt to disrupt platform operations
• misuse the platform for purposes unrelated to rehabilitation or care coordination

Violation of these rules may result in suspension or termination of your account.

7. User Responsibility and Appropriate Use

Users are responsible for using the iManus platform in a safe and appropriate manner consistent with instructions provided by their healthcare professionals.

Patients should perform rehabilitation activities only as recommended by their healthcare provider and should stop any activity that causes pain, injury, or medical concern.

The iManus platform is intended to support rehabilitation monitoring and communication and must not be used as a substitute for direct medical supervision where such supervision is required.

Users are responsible for ensuring that any information, videos, or content they upload to the platform is accurate and appropriate. Users must not upload unlawful, harmful, misleading, or inappropriate content.

Video Privacy Responsibility. Patients and healthcare professionals are responsible for reviewing any video they record or upload through the iManus platform. If they do not want their face, voice, home environment, background, or any other identifying feature or item to appear in a video, they are responsible for concealing, excluding, or avoiding those elements before recording or uploading the video. Tactile Robotics Ltd. is not responsible for identifying, obscuring, or removing such user-recorded identifying content from videos submitted through the platform.

Tactile Robotics Ltd. is not responsible for injuries, damage, or outcomes resulting from improper use of the platform, failure to follow medical instructions, or misuse of rehabilitation exercises performed outside the supervision of a healthcare professional.

8. Communications Between Users

The platform allows users to exchange messages with members of their care team.

Messages exchanged through the platform are visible to the communicating parties and stored within their accounts.

9. Intellectual Property

The iManus platform, including its software, design, user interfaces, algorithms, and documentation, is the intellectual property of Tactile Robotics Ltd.

Users retain ownership of their personal data and uploaded content. By using the platform, users grant Tactile Robotics Ltd. the limited rights necessary to store, process, and display such data solely for providing the service.

10. Privacy and Data Protection

Use and protection of personal information and personal health information are governed by the iManus Privacy Policy.

The platform incorporates safeguards including:

• encryption of data in transit and at rest
• role-based access controls
• authentication mechanisms
• system monitoring and security logging
• secure cloud infrastructure

11. Compliance With Privacy Laws

Users of the iManus platform, including healthcare professionals and caregivers, are responsible for complying with all applicable privacy and healthcare information laws when accessing or handling personal information or personal health information through the platform.

Healthcare professionals must ensure that their use of the platform complies with applicable professional, regulatory, and privacy obligations, including but not limited to laws governing the protection of personal health information.

Tactile Robotics Ltd. provides the platform as a technology service and does not assume responsibility for the clinical or regulatory compliance obligations of healthcare providers using the platform.

12. Account Deletion and Data Removal

Users may delete their accounts at any time.

Upon deletion of an account:

• all personal data associated with the account, including uploaded videos and rehabilitation information, is immediately and permanently deleted from active systems
• deleted data cannot be recovered

Users acknowledge that deletion of their account permanently removes their access to the platform and associated data.

13. Medical Disclaimer and Healthcare Provider Responsibility

The iManus platform is a software tool intended to support rehabilitation monitoring, communication, and care coordination.

Healthcare professionals using the iManus platform remain solely responsible for all medical decisions, diagnoses, treatment plans, and patient care.

The platform does not provide medical advice, diagnosis, or treatment recommendations.

Tactile Robotics Ltd. does not practice medicine and does not replace the professional judgment of licensed healthcare providers. Healthcare professionals must independently evaluate patient information and determine appropriate care.

Users should not rely solely on the platform when making healthcare decisions.

14. Service Availability

The platform is provided on an “as available” basis. While we strive to maintain reliable service, we do not guarantee uninterrupted availability.

Maintenance, updates, or unforeseen events may temporarily affect access to the platform.

15. Regulatory Status / Not a Medical Device

The iManus platform is provided as a software tool for communication, rehabilitation monitoring, and care coordination. It is not intended for medical diagnosis, treatment recommendations, or clinical decision-making. Based on this intended use, the platform is not designed to function as a medical device under applicable regulatory frameworks, including those of the United States Food and Drug Administration (FDA).

16. Limitation of Liability

To the maximum extent permitted by law, Tactile Robotics Ltd. shall not be liable for indirect, incidental, or consequential damages arising from use of the platform.

Our total liability shall not exceed the amount paid, if any, for access to the platform.

17. Termination

We reserve the right to suspend or terminate access to the platform if users violate this Agreement, misuse the platform, or create security risks.

Users may terminate their accounts at any time by deleting their account within the platform.

18. Modifications to Agreement

We may update this Agreement periodically. Continued use of the platform after updates constitutes acceptance of the revised terms.

19. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which Tactile Robotics Ltd. operates, unless otherwise required by applicable law.
